These Terms of Service (“Terms”) govern your access to and use of the software, services, and website (collectively, the “Service”) provided by Optimal Intellect, Inc. (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. DEFINITIONS

“Service” means the Moreau software, APIs, documentation, and any related services provided by the Company. “User” or “you” means any individual or entity that accesses or uses the Service. “Content” means any data, code, text, or other materials submitted to or generated by the Service.

2. LICENSE GRANT

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or research purposes. This license does not include the right to sublicense, resell, or distribute the Service to third parties without our prior written consent.

3. ACADEMIC USE

The Service may be made available at no charge for academic and non-commercial research purposes under a separate academic license. Academic use is subject to the terms of the applicable academic license accompanying the software.

4. ACCOUNT AND ACCESS

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use. We reserve the right to suspend or terminate access to any account that violates these Terms.

The Service, including all software, algorithms, documentation, and related materials, is the proprietary property of Optimal Intellect, Inc. and is protected by intellectual property laws. Nothing in these Terms transfers any ownership rights to you. You retain ownership of any Content you submit to the Service, and you grant us a limited license to process such Content solely to provide the Service.

7. PAYMENT AND FEES

If you subscribe to a paid plan, you agree to pay all applicable fees as described in the applicable order form or pricing page. Fees are non-refundable except as described in our Refund Policy. We may change our fees upon 30 days’ notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OPTIMAL INTELLECT, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Optimal Intellect, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service or violation of these Terms.

11. TERMINATION

Either party may terminate these Terms at any time with written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification.

We may modify these Terms at any time by posting the updated Terms on our website. Your continued use of the Service after modifications are posted constitutes acceptance of the modified Terms. We will make reasonable efforts to notify you of material changes.

13. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

14. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.

15. ENTIRE AGREEMENT

These Terms, together with any applicable order forms and our Privacy Notice, constitute the entire agreement between you and Optimal Intellect, Inc. with respect to the Service, and supersede all prior agreements and understandings.
